These terms apply to your use of the Menixo platform (the menixo.eu website, the restaurant panel, the public menus and the order screen), provided by [FIRMA]. By creating an account, you accept these terms, the Privacy policy and the Data processing agreement (DPA).
Menixo is intended only for businesses: restaurants, bars, cafés and other hospitality (HoReCa) businesses. We do not sell subscriptions to consumers.
1. Who we are
The platform is operated by [FIRMA], with its registered office at [ADRESA], registered with the Trade Register under no. [REG_COM], tax identification number [CUI]. You can write to us at [EMAIL].
2. What we provide
Menixo is an online service (software as a service) that lets a restaurant publish its digital menu, accessible through QR codes, translate it automatically and, with the Orders plan, receive orders and requests from tables on an order screen.
The features included in each plan are those described on the pricing page on the date you subscribe. We may improve the service over time; we will not remove essential features from a paid plan without giving you at least 30 days' notice.
3. Your account
You sign up with a confirmed email address and a password. You are responsible for keeping your login details, your staff PINs and your paired tablets secure.
You are responsible for the actions of the people you give access to (managers and staff). One account can hold several restaurants; each restaurant has its own subscription.
4. Free trial
When you sign up, you get a 14-day free trial, with no card required, including all the features of the Orders plan. At the end, you choose a plan. If you don't, the menu stays visible, but ordering and editing stop until you choose a plan.
5. Subscription and payment
Prices are those shown on the website, in euros. VAT is calculated at checkout, based on your company's country and tax status. Payment is made in advance, monthly or yearly, by card, through the payment processor Stripe. Invoices are issued electronically.
The subscription renews automatically at the end of each period until you cancel it. We will notify you by email at least 30 days before any price change; the new price applies from the next period.
6. Failed payments
If a payment fails, the service keeps working normally for another 7 days and we ask you to update your card. From day 8 to day 30 of non-payment, the menu stays visible, but ordering and editing stop. After day 30, the public menu shows “Menu temporarily unavailable”. Your data is kept until payment is made or until it is deleted as described in section 7.
7. Cancellation and data deletion
You can cancel your subscription at any time, from the panel. The subscription stays active until the end of the paid period; we do not refund periods that have already started, except where the law requires it.
90 days after cancellation, we delete the restaurant's data. We will send you a warning email at least 30 days beforehand. Until then, you can reactivate the account or ask us for a copy of the data by writing to [EMAIL].
8. Your content
The menu, photos, logo and other materials you upload remain yours. You grant us a non-exclusive right to store, display, translate and technically process them, strictly to the extent needed to provide the service.
You are responsible for the accuracy of prices, descriptions and allergen information (Regulation (EU) 1169/2011), and for having the right to use the photos you upload. Automatic translations may contain errors: check them, especially those about allergens and ingredients.
9. Guest orders
Menixo passes orders and table requests on to the restaurant. The contract for the sale of food and drinks is concluded between the restaurant and its guest; we are not a party to it. The restaurant is responsible for the products, prices, service, the fiscal receipt and its tax obligations.
10. Acceptable use
You may not use Menixo for content that is illegal, misleading or infringes the rights of others, try to access other restaurants' data, get around technical limits, overload the service, or copy or decompile the software.
We may suspend an account that breaks these rules or puts the security of the platform at risk. Where possible, we will notify you first and give you the chance to put things right.
11. Availability
We make reasonable efforts to keep the service available at all times, but we do not guarantee uninterrupted operation. There may be maintenance work, which we try to carry out outside restaurants' peak hours. The service also depends on the internet connection of the restaurant and its guests.
12. Liability
To the extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid for the restaurant concerned in the last 12 months. We are not liable for indirect losses, such as loss of profit or loss of customers.
These limitations do not apply in cases of intent or gross negligence, or in any other case where the law does not allow liability to be limited.
13. Personal data
How we process personal data as a controller is described in the Privacy policy. For the data we process on the restaurant's behalf (for example, table orders), the Data processing agreement (DPA) applies, and it forms part of these terms.
14. Changes to these terms
We may update these terms. We will notify you by email at least 30 days before any significant change. If you do not agree, you can cancel your subscription before the new terms take effect.
15. Governing law
These terms are governed by Romanian law. We try to resolve any dispute amicably; failing that, the courts for the place where [FIRMA] has its registered office have jurisdiction.
